ARTICLE I – NAME
Section 1. This Association will be known as the Charleston Association of Wedding Professionals (a/k/a CAWP). It is not affiliated or associated with or responsible to any state or national association.
Section 2. The official address of this organization shall be an address designated by the Board of Directors, henceforth known as “Board.”
ARTICLE II – MISSION
Section 1. To enhance the education and professionalism of members providing services to individuals who are planning weddings. This shall be accomplished by the issuing of newsletters, directories and other publications and by conducting educational seminars.
Section 2. To increase public awareness of the Association and its membership criteria.
Section 3. To assist persons planning weddings in making educated decisions with regard to all aspects of their weddings.
ARTICLE III – NON-PROFIT ORGANIZATION
Section 1. This organization is formed exclusively for educational and professional purposes and no part of the net earnings nor of the principal shall inure to the benefit of any private member or individual.
ARTICLE IV – MEMBERSHIP
Section 1. Members must meet strict criteria for membership and adhere to the Association’s Code of Ethics.
Section 2. Criteria for membership:A. Businesses applying for membership must be sponsored a current member of CAWP.B. The competed application shall be submitted to the Board of Directors for review after a report on the application has been made by the Membership Committee. The applicant’s name, business name, and sponsor’s name shall be published in the next newsletter. If no objections from current members are received within 30 days of publication, the application will be considered approved. If objections are received, they will be reviewed by the Board and the application will then be accepted or rejected. The decision of the Board will be final.
Section 3. Memberships in CAWP shall consist of business memberships as opposed to individual memberships. Any number of member representatives may attend meetings and take advantage of all CAWP activities and benefits. However, only one member from each business membership may vote on CAWP affairs or hold office.
ARTICLE V – CODE OF ETHICS
Section 1. Each member, having been accepted into membership in CAWP, does hereby subscribe without reservation to this Code of Ethics and does solemnly agree that it:A. Shall at all times avoid the use of unfair competitive practices as determined by any court of competent jurisdiction, the Federal Anti-Trust Laws and related statutes.B. Shall strive to enhance and ennoble the status of the wedding profession by maintaining a dignified manner in the presentation of services and in all other forms of public contact.C. Shall observe the highest standard of honesty in all transactions, avoiding the use of false titles, confusing or inaccurate technical terms or descriptions, misleading terms and claims and/or false or deceptive advertising.D. Shall show a friendly spirit of cooperation with fellow wedding professionals and assist them whenever possible.
Section 2. Violations of the Code of Ethics
A. Complaints of violations of the Code of Ethics or abuse of the Association logo or name may be filed with any Board member.
B. The Board will investigate any complaints and take whatever action it deems appropriate under the circumstances. The decision of the Board is final.
ARTICLE VI – ANNUAL DUES
Section 1. Dues will be collected annually no later than March 15th of each year. Members joining after March 15 will have their dues prorated.
ARTICLE VII – OFFICERS
Section 1. The Board of Directors shall elect the officers of the Association no later than March 1st of each year, with terms running from March 15th through March 14th of the following year. The officers shall consist of a President, Vice-President, Secretary and a Treasurer. One person may hold multiple offices. The duties of the officers shall be determined by the Board of Directors.
ARTICLE VIII – MEETINGS
Section 1. The Board of Directors shall determine the time and place of all meetings.
ARTICLE IX – AMENDMENTS
Section 1. These by-laws may only be amended by a two-thirds vote of the Board of Directors.
